Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of OpenModeration, provided by Logora (“we”, “our”, or “us”). OpenModeration is available in two forms: (i) self-hosted open-source software, and (ii) a managed cloud service (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Definitions

  • “Service” means the OpenModeration platform, including all APIs, dashboards, documentation, and related tools.
  • “You” or “User” means the individual or entity using the Service.
  • “Content” means any text, data, or material submitted to the Service for moderation.
  • “Self-Hosted” means the open-source software deployed on your own infrastructure under AGPL v3.
  • “Cloud Service” means the managed SaaS offering hosted by Logora.
  • “BYOK” means Bring Your Own Keys: using your own provider accounts and API keys.

3. Account Registration

To use the Cloud Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. You must be at least 18 years old to create an account.

4. License — Self-Hosted

The self-hosted version of OpenModeration is licensed under the GNU Affero General Public License v3 (AGPL v3) . You may use, study, modify, and distribute the software in accordance with that license. The AGPL v3 requires that modified versions of the software, when used to provide a service over a network, make the source code available to users of that service.

5. Cloud Service

The managed cloud service is provided on a subscription basis. Usage is subject to the rate limits, features, and quotas of your chosen plan as described on our Pricing page.

We strive for high availability but do not guarantee uninterrupted access. We reserve the right to suspend or terminate access to the Cloud Service for accounts that violate these Terms or our Acceptable Use Policy, with notice where reasonably possible.

6. Acceptable Use

You agree not to use OpenModeration for:

  • Any illegal activity or the facilitation of illegal content under applicable laws.
  • Attempting to reverse-engineer, decompile, or extract provider APIs through the platform.
  • Circumventing rate limits, authentication, or security measures.
  • Transmitting malware, viruses, or any malicious code.
  • Moderating content that you do not have the legal right to process.
  • Any activity that violates the terms of service of third-party providers integrated via BYOK.

We reserve the right to investigate and take appropriate action against violations, including account suspension, termination, and reporting to law enforcement authorities.

7. Fees and Payment

Free plan: The Free plan is provided at no cost for up to 1,000 moderation requests per month. Features may be subject to limitations as described on our Pricing page.

Paid plans: Paid subscriptions are billed monthly or annually as selected. Fees are non-refundable except as required by applicable law. We may change pricing with 30 days’ notice for your next billing cycle. BYOK usage is not marked up; you pay your providers directly.

8. Intellectual Property

Our IP: OpenModeration software, documentation, website, branding, and all related materials are the intellectual property of Logora and are protected by copyright and other laws. The self-hosted software is provided under AGPL v3; the Cloud Service and proprietary components are not covered by the AGPL license.

Your Content: You retain all rights to the content you submit for moderation. We claim no ownership over your content. You grant us a limited license to process your content solely for the purpose of providing the Service and as described in our Privacy Policy.

9. Third-Party Services

OpenModeration integrates with third-party AI providers (e.g., OpenAI, Azure, Mistral). When you use BYOK, you interact directly with those providers under your own agreements with them. We are not responsible for the availability, accuracy, or performance of third-party provider services. Your use of third-party services through the platform is at your own risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Logora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claim arising out of these Terms or the Service shall not exceed the amount you paid us for the Service in the 12 months preceding the claim. For the Free plan, our liability is capped at €100.

We are not responsible for the accuracy of third-party provider moderation results. Moderation decisions and their consequences are the sole responsibility of the platform operator.

11. Indemnification

You agree to indemnify and hold harmless Logora, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) content you submit for moderation.

12. Termination

By you: You may stop using the Service at any time. For paid plans, you may cancel your subscription through your account settings; cancellation takes effect at the end of the current billing period.

By us: We may suspend or terminate your access to the Service for breach of these Terms, with notice where reasonably possible. Upon termination, your right to use the Service ceases immediately. We may retain certain data as described in our Privacy Policy or as required by law.

Self-hosted deployments are not affected by cloud service termination; you may continue using the open-source software under AGPL v3.

13. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of France. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France. For consumers, this does not affect your statutory rights under your local consumer protection laws.

15. Changes to these Terms

We may modify these Terms at any time. Material changes will be communicated via email to active Cloud Service users at least 30 days before they take effect. For the self-hosted version, the current Terms are always available at this page. Continued use of the Service after changes constitutes acceptance of the updated Terms.

16. Miscellaneous

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • No waiver: Our failure to enforce any right or provision does not constitute a waiver.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Entire agreement: These Terms, together with our Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and Logora regarding the Service.
